911 iMedia.com, Inc. Terms and Conditions

The following Terms and Conditions of Service apply to all products and services provided by 911 iMedia.com, Inc.. 

All work is carried out by 911 iMedia.com, Inc. on the understanding that the client has agreed to the following terms and conditions. 

Project Acceptance
At the time of proposal, 911 iMedia.com, Inc. will provide the client with a written estimate or quotation. The Terms and Conditions can be read on 911 iMedia.com, Inc.’ website.

A copy of the written estimate or quotation is to be signed and dated by the client to indicate acceptance and should be returned to 911 iMedia.com, Inc.. Alternatively, the client may send an email in reply to the estimate or quotation, which binds the client to accept 911 iMedia.com, Inc.’ terms and conditions. No work on a project will commence until either document has been received by 911 iMedia.com, Inc.. 

Design Charges
Charges for design services to be provided by 911 iMedia.com, Inc. will be set out in the written estimate or quotation that is provided to the client. At the time of the client’s signed acceptance of this estimate or quotation, indicating acceptance of the Terms & Conditions, a non-refundable deposit of 50% of the quoted expense will become immediately due. Work on the project will not commence until 911 iMedia.com, Inc. has received this amount. 

Alterations
The client agrees that revisions required over and above the estimated work or required to be carried out after acceptance of the draft design will be liable to a separate charge.

The client also agrees that 911 iMedia.com, Inc. holds no responsibility for any amendments made by any third party, before or after a design is published.

Charges for Other Service
Charges for any additional services over and above the estimated design will become fully payable (100% of the quoted amount) at the time of estimate or quotation acceptance. This includes but is not limited to such services as additional concepts or design layout, multiple revisions, rush services, use of third party vendors and printing/shipping outside of the scope of the original agreement.

Payment
The client will be provided with an Approval Form and/or Review of the work prior to final publication. At this time the remainder of the amount due will become payable and the client will also be required to sign and submit the Approval Form to 911 iMedia.com, Inc.. Accounts that remain outstanding for 30 days after the date of invoice, will incur an extra charge of 2% per month of the outstanding amount.

Payments may be made by cash, check, or Major Credit Card, and/or previously agreed electronic funds transfer.

Publication, delivery and/or release of work performed by 911 iMedia.com, Inc. on behalf of the client may not take place until estimate including any additional expenses has been paid in full. 

Returned checks will incur an additional expense of $50 per returned check. 911 iMedia.com, Inc. reserves the right to consider an account to be in default in the event of a returned check.

Default
An account shall be considered default if it remains unpaid for 30 days from the date of invoice, or following a returned check. 911 iMedia.com, Inc. shall be considered entitled to remove 911 iMedia.com, Inc. and/or the client’s material from any and all computer systems, until the amount due has been fully paid. This includes any and all unpaid monies due for services, including, but not limited to, business cards, flyers, brochures, hosting, domain registration, search engine submission, design and maintenance, sub-contractors, printers, photographers, consultation and libraries.

Removal of such materials does not relieve the client of its obligation to pay the due amount. Clients whose accounts become default agree to pay 911 iMedia.com, Inc. reasonable legal expenses and third party collection agency expenses in the enforcement of these Terms and Conditions.

Data Formats
The client agrees to 911 iMedia.com, Inc.’ definition of acceptable means of supplying data to the company.

Text is to be supplied to 911 iMedia.com, Inc. in electronic format as standard text (.txt) or MS Word (.doc) via e-mail, USB drive, CD-ROM or on-line sharing vendor such as Drop Box, Google Drive or Hightail.

Images that are supplied in an electronic format are to be provided in a format as prescribed by 911 iMedia.com, Inc. via e-mail or on-line sharing. Images must be of a quality suitable for use without any subsequent image processing, and 911 iMedia.com, Inc. will not be held responsible for any image quality which the client later deems to be unacceptable. 911 iMedia.com, Inc. cannot be held responsible for the quality of any images which the client wishes to be scanned from printed materials.

Additional expenses may be incurred for any necessary action, including, but not limited to, photography and art direction, photography searches, media conversion, digital image processing, or data entry services.

Design Project Duration
Any indication given by 911 iMedia.com, Inc. of a design project’s duration is to be considered by the client to be an estimation. 911 iMedia.com, Inc. cannot be held responsible for any project over-runs, whatever the cause. Estimated project duration should be deemed to be from the date that cleared funds are received by 911 iMedia.com, Inc. for the initial payment or by date confirmed in writing by 911 iMedia.com, Inc..

The client agrees to supply 911 iMedia.com, Inc. with all necessary materials, electronic, or otherwise, required to create and complete the project, and to supply them in a timely manner.

Design Project Completion
911 iMedia.com, Inc. considers the design project complete upon receipt of the client’s signed Approval form or an email indicating the project is complete or payment in full of the estimate and any additional expenses has been made. Other services such as printing, display panel production, CD/DVD duplication, website uploading, filmwork, publishing, etc., either contracted on the clients behalf constitute a separate project and can be treated as a separate charge.

Service Providers
911 iMedia.com, Inc. selects and utilizes vendors who have proven themselves as a quality service provider with competitive pricing and reasonable turn around. If a client deems their materials to be defective or of low quality, the client must make a written grievance within three (3) business days of receipt along with evidence and allow 911 iMedia.com, Inc. and its vendors to correct the problem, if deemed unacceptable.

In the event that a project is deemed unacceptable and a reproduction or reprint is requested, the same terms of delivery shall apply. While every attempt will be made to correct the problem in a timely manner, any rushed services requested by the client will be the fiscal responsibility of the client. If client requests art changes, the project is no longer considered a reprint or reproduction.

Copyrights and Trademarks
By supplying text, images and other data to 911 iMedia.com, Inc. for inclusion in the client’s project (example: business cards, flyers, brochures, digital, website or other medium), the client declares that it holds the appropriate copyright and/or trademark permissions. The ownership of such materials will remain with the client, or rightful copyright or trademark owner.

Any artwork, images, fonts, software or hardware supplied, licensed or used by 911 iMedia.com, Inc. on behalf of the client, will remain the property of 911 iMedia.com, Inc. and/or its suppliers. The client may request in writing from 911 iMedia.com, Inc. a transfer of the materials in which it was originally supplied and will reimburse 911 iMedia.com, Inc. 100% of costs associated or may obtain the material from the supplier should 911 iMedia.com, Inc. impart supplier information. Such permission must be obtained in writing before any transfer of material or exchange of information occurs.

Copyright is retained by 911 iMedia.com, Inc. on all design work including words, pictures, ideas, visuals and illustrations unless specifically released in writing and after all costs have been settled.

If a choice of design is presented, only one design is deemed to be given by 911 iMedia.com, Inc. as fulfilling the contract. All other designs remain the property of 911 iMedia.com, Inc., unless agreed upon in writing that this arrangement has been changed.

By supplying images, text, or any other data to 911 iMedia.com, Inc., the client grants 911 iMedia.com, Inc. permission to use this material freely in the pursuit of the design.

Should 911 iMedia.com, Inc., or the client supply an image, text, audio clip or any other file for use in a business cards, flyers, brochures, website, multimedia presentation, print item, exhibition, advertisement or any other medium believing it to be copyright and royalty free, which subsequently emerges to have such copyright or royalty usage limitations, the client will agree to allow 911 iMedia.com, Inc. to remove and/or replace the file.

The client agrees to fully indemnify and hold 911 iMedia.com, Inc. free from harm in any and all claims resulting from the client in not having obtained all the required copyright, and/or any other necessary permissions.

Design Credits
The client agrees to allow 911 iMedia.com, Inc. to place designs, with or without a link to the client’s site, on 911 iMedia.com, Inc.’ own website and digital and/or printed materials for demonstration purposes and to use any designs in its own publicity and marketing efforts.

Licensing
All design work- where there is a risk that another party makes a claim, should be registered by the client with the appropriate authorities prior to publishing or first use or searches and legal advice sought as to its use. 911 iMedia.com, Inc. will not be held responsible for any and all damages resulting from such claims. 911 iMedia.com, Inc. is not responsible for any loss, or consequential loss, non-delivery of products or services, of whatever cause. The client agrees not to hold 911 iMedia.com, Inc. responsible for any such loss or damage. Any claim against 911 iMedia.com, Inc. shall be limited to the relevant expense(s) paid by the client.

Rights of Refusal
911 iMedia.com, Inc. will not include in its designs, any text, images or other data which it deems to be immoral, offensive, obscene or illegal. All advertising material must conform to all standards laid down by all relevant advertising standards authorities. 911 iMedia.com, Inc. also reserves the right to refuse to include submitted material without giving reason. Any images and/or data that 911 iMedia.com, Inc. does include in all good faith, and then finds out that it contravenes these Terms and Conditions, the client is obliged to allow 911 iMedia.com, Inc. to remove the contravention without hindrance, or penalty. 911 iMedia.com, Inc. is to be held in no way responsible for any such data being included.

Cancellation
Cancellation of orders may be made initially by telephone contact, however, following this, 911 iMedia.com, Inc. will need formal notification in writing to the company’s postal address or email. The client will then be invoiced for all work completed over and above the non-refundable deposit that will have been made at the time of first ordering. The balance of monies due must be paid within 30 days. Please note: any cancellation which is not formally confirmed in writing and received by 911 iMedia.com, Inc. within 14 days of such instruction being issued, will be liable for the full quoted cost of the project.

Disclaimer
911 iMedia.com, Inc. makes no warranties of any kind, express or implied, for any and all products and/or services that it supplies and includes affiliate programs and/or recommendations to third party vendors, software, applications and/or programs. 911 iMedia.com, Inc. will not be held responsible for any and all damages resulting from products and/or services it supplies. 911 iMedia.com, Inc. is not responsible for any loss, or consequential loss of data, or non-delivery of products or services, of whatever cause.

While we take reasonable steps to investigate the materials we recommend, we accept no responsibility for the performance or quality of materials or any consequential loss arising from their failure. The client agrees not to hold 911 iMedia.com, Inc. responsible for any such loss or damage. Any claim against 911 iMedia.com, Inc. shall be limited to the relevant expense(s) paid by the client.

911 iMedia.com, Inc. reserves the right to use the services of sub-contractors, agents and suppliers and any work, content, services and usage and is bound by their Terms and Conditions. 911 iMedia.com, Inc. will not knowingly perform any actions to contravene these and the client also agrees to be so bound.

911 iMedia.com, Inc. and its clients agree to comply with Printers Terms and Conditions which include disclaimers for non-completion on time and the flexibility to supply quantities within 10% of the total ordered. 911 iMedia.com, Inc. recommends that if an exact quantity is required, then 10% extra is added to the quantity and extra time made available should the job be delayed.

General
These Terms and Conditions supersede any previous Terms and Conditions distributed in any form. 911 iMedia.com, Inc. reserves the right to change any rates and any of the Terms and Conditions at any time and without prior notice.

Acceptance of Quotation and Terms and Conditions
The placement of an order for design and/or any other services offered by 911 iMedia.com, Inc. is considered validated by the client’s signature on the estimate or quotation form, or via email in which the language indicates acceptance, or when payment for the deposit is made. These validations constitutes acceptance of the estimate or quotation and agreement to comply fully with all the Terms and Conditions and forms a Contract for Business between the signatory and 911 iMedia.com, Inc..
